9. Disclaimer; Limitation of Liability; Indemnity
9.1 Disclaimer
Bomo-ko does not represent or warrant that the Bomo-ko Licensed Materials are free of inaccuracies, errors, bugs, or interruptions, or are reliable, accurate, complete, or otherwise valid. The Bomo-ko Licensed Materials are provided “as is” with no warranty of any kind, and Bomo-ko expressly disclaims any and all warranties and conditions, including any implied warranty of merchantability, fitness for a particular purpose, availability, security, title, or non-infringement. Your use of the Bomo-ko Licensed Materials is at your own discretion and risk, and you will be solely responsible for any damage that results from the use of any Bomo-ko Licensed Materials, including any damage to your computer system or loss of data.
9.2 Limitation of Liability By accessing and using Bomo-ko Licensed Materials, you agree that the liability of any Bomo-ko entities and their respective directors, officers, employees, agents, licensors, and other representatives (collectively, the “Bomo-ko Parties”) will be limited to the maximum extent permissible by applicable law.
The Bomo-ko Parties will not be liable for any incidental, indirect, special, punitive, consequential, or similar damages or liabilities arising out of or in connection with the Developer Terms, whether under contract, tort (including negligence), civil liability, statute, strict liability, breach of warranties, or any other theory of liability, and whether any Bomo-ko Parties have been advised of, knew of, or should have known of the possibility of the damages, and notwithstanding any failure of the essential purpose of, or any limited remedy under, the Developer Terms.
In no event will the aggregate liability of the Bomo-ko Parties arising out of or in connection with the Developer Terms, under any theory of liability, exceed $100.
9.3 Indemnity You agree to indemnify, defend, and hold harmless Bomo-ko Parties, their licensors, and Users from all costs, liabilities, and expenses (including attorneys’ fees) incurred by any of the foregoing in connection with any claims, lawsuits, or causes of action (“Claims”) by a third party arising out of or in any way relating to:
(a) your App or App Content;
(b) your breach of the Developer Terms; or
(c) your access to or use of any Bomo-ko Licensed Materials. We reserve the right to control the defense of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of the Claims.

10. Miscellaneous 10.1 Confidentiality Our communications to you and our Bomo-ko Licensed Materials may contain Bomo-ko Confidential Information. “Confidential Information” includes any information disclosed by Bomo-ko to you in writing that is marked as confidential at the time of disclosure, or that would normally be understood to be confidential given the nature of the information or the circumstances surrounding its disclosure.
You agree to hold Confidential Information in confidence and protect it by using the same degree of care to prevent its unauthorized use, dissemination, or publication that you use to protect your own confidential information of a similar nature (but no less than reasonable care).
Confidential Information excludes any information which:
(a) is or becomes public knowledge through no fault on your part;
(b) is rightfully received by you from a third party without any duty of confidentiality;
(c) is disclosed under operation of law; or
(d) is disclosed with the prior written approval of Bomo-ko. Bomo-ko retains all IP Rights in Confidential Information disclosed to you.
10.2 Changes to Developer Terms
Bomo-ko may make changes to the Developer Terms or the Developer Documentation from time to time. If we make changes, we will post the revised Developer Terms. If the changes, in our sole discretion, are material, we may also notify you by sending an email to the address associated with your Account (if you have chosen to provide an email address), an email to the address you otherwise provided to us in connection the Developer Services, or by otherwise providing you with notice through the Services. By continuing to access or use the Developer Services or any other Bomo-ko Licensed Material after the Developer Terms are revised, you agree to be bound by the revised Developer Terms. If you do not agree to the revised Developer Terms, you must stop accessing and using the Developer Services and any other Bomo-ko Licensed Materials. Please review the Developer Terms for any changes; it is your responsibility to do so.
10.3 Governing Law and Venue If you have an issue or dispute, you agree to raise it and try to resolve it with us informally. You can contact us with feedback and concerns here.
To the fullest extent permitted by applicable law, any Claims arising out of or relating to the Bomo-ko Licensed Materials or the Developer Terms will be governed by the laws of the State of California, without regard to its conflict of laws rules.
All disputes related to the Bomo-ko Licensed Materials or the Developer Terms that are unable to be resolved informally will be brought solely in the federal or state courts located in San Francisco, California, and you and Bomo-ko consent to personal jurisdiction in these courts.
10.4 Emails and Other Notices
By agreeing to the Developer Terms and accessing and using the Bomo-ko Licensed Materials, you agree to receive communications from us or communications related to the Developer Terms and Bomo-ko Licensed Materials at your Account or at any of the email addresses provided to Bomo-ko by you or on your behalf. Communications from Bomo-ko Parties may include operational communications concerning your access and use of Bomo-ko Licensed Materials, updates concerning requested changes to your App or changes to Bomo-ko Licensed Materials, communications concerning marketing or promotions run by us or our third-party partners, and news concerning Bomo-ko and industry developments. If you change or deactivate the email address you provided to Bomo-ko, you agree to update your Account information.
IF YOU WISH TO OPT OUT OF PROMOTIONAL EMAILS, YOU CAN UNSUBSCRIBE FROM OUR PROMOTIONAL EMAIL LIST BY FOLLOWING THE UNSUBSCRIBE OPTIONS IN THE PROMOTIONAL EMAIL ITSELF.
All notices or communications of any kind made or required to be given in connection with the Developer Terms and Bomo-ko Licensed Materials will be in writing and will be sent to your Account or to the email address associated with your Account through the Developer Services or other Services.
10.5 Federal Agencies
The Bomo-ko Licensed Materials were developed solely at private expense and are commercial computer software and related documentation within the meaning of the applicable U.S. Federal Acquisition Regulation and related agency supplements. U.S. government entities are prohibited from accessing and using the Bomo-ko Licensed Materials without our prior written approval, and any Bomo-ko -approved access and use by these entities must be in accordance with 48 C.F.R. 12.212 and 48 C.F.R. 227.7202-1 through 227.7202-4.
10.6 Export Control You will comply with all applicable foreign, federal, state, and local laws, rules, and regulations, including laws relating to bribery and corruption. Use of Bomo-ko Licensed Materials may be subject to U.S. export laws and the import and use laws of the country where Bomo-ko Licensed Materials are delivered or used. You agree to abide by these laws. Under these laws, Bomo-ko Licensed Materials may not be sold, leased, downloaded, moved, exported, re-exported, or transferred across borders without a license, or approval from the relevant government authority:
(a) to any country or to any foreign national restricted by these laws, including countries embargoed by the U.S. Government;
(b) to any restricted or denied end-user, including any person or entity prohibited by the U.S. Office of Foreign Assets Control; or
(c) for any restricted end-use. You will maintain all registrations and licenses that are required with respect to your App and App Content.
10.7 General Bomo-ko may assign any of its rights and obligations under the Developer Terms. You may not assign, sublicense, or delegate any of your rights or obligations under the Developer Terms (including any sale, license, or other transfer of ownership of your App) to any third party without Bomo-ko’s prior written consent. Any assignment, delegation, or transfer in violation of this paragraph is void.
In order to access and use the Bomo-ko Licensed Materials, you acknowledge and agree that you have had adequate opportunity to review, reflect upon, and consider the Developer Terms and fully understand and voluntarily agree to the Developer Terms. You also acknowledge and agree that you have received, or had the opportunity to receive, independent legal advice from attorneys of your choosing regarding the advisability of entering the Developer Terms.
Your access and use of Bomo-ko Licensed Materials and your acceptance of the Developer Terms does not constitute an agency, partnership, or joint venture between you and Bomo-ko. Unless expressly stated, the Developer Terms do not confer any benefits on any third party.
The Developer Terms are non-exclusive. You acknowledge that Bomo-ko may develop products or services that may compete with, or are similar to, your App or any other products or services.
Headings are used in the Developer Terms for reference only and will not be considered when interpreting them. For purposes of the Developer Terms:
(a) the words “include,” “includes,” and “including” will be deemed to be followed by the words “without limitation;”
(b) the words “such as,” “for example,” “e.g.,” and any derivatives of those words will mean by way of example and the items that follow these words will not be deemed an exhaustive list; and
(c) the word “or” is used in the inclusive sense of “and/or” and the terms “or,” “any,” and “either” are not exclusive. No ambiguity will be construed against any party based on a claim that the party drafted the language.
In the event that any provision of the Developer Terms or the application of any provision of the Developer Terms is held to be contrary to law, invalid or unenforceable, that provision will be given effect to the greatest extent possible, and the remaining provisions of the Developer Terms will remain in full force and effect.
The Developer Terms are a legally-binding agreement between you and Bomo-ko and contain the entire agreement of the parties with respect to the subject matter of the Bomo-ko Licensed Materials and supersede all previous communications, representations, understandings, and agreements, either oral or written, between the parties with respect to said subject matter, including previous versions of the Developer Terms.
